Travel Company Agreement

This Agreement was updated on July 18, 2023 with edits to Section 5.1.5 D. Zicasso’s Credit Card Authorization Form.

CAREFULLY READ THE FOLLOWING TRAVEL COMPANY AGREEMENT.

FOR NEW TRAVEL COMPANY MEMBERS: YOU ACCEPT AND AGREE TO BE BOUND BY THIS TRAVEL COMPANY AGREEMENT BY CLICKING THE BUTTON LABELED "SIGN UP" ON THE SIGN UP PAGE. CONFIDENTIALITY: THIS INFORMATION IS CONSIDERED ZICASSO CONFIDENTIAL INFORMATION, TO BE SHARED ONLY BETWEEN ZICASSO AND TRAVEL COMPANY PARTNERS.

1. BACKGROUND

This Travel Company Agreement is an additional part of and is incorporated into the Terms of Use Agreement including the terms and conditions, rules, policies and guidelines available by hyperlink at the domain and sub-domains of www.zicasso.com ("Agreement"). By clicking the "Sign up" button you are agreeing to be bound to the Agreement in addition to the Travel Company Agreement. This Travel Company Agreement does not change or supersede any term of the Agreement. All capitalized terms not otherwise defined herein will have the meanings provided in the Agreement, including but not limited to all rules, policies and guidelines on the Site.

2. ELIGIBILITY

Services are available only to legal entities and sole proprietorships that can form legally binding contracts. Zicasso reserves the right in its sole discretion to refuse, suspend, or terminate service to anyone. By clicking the "Sign up" button and registering with the Zicasso Site, you are designating yourself as a "Travel Company" as defined in the Terms of Use.

3. YOUR ACCOUNT

You represent and warrant that you have provided true, accurate and complete information as prompted by the registration form, and you shall update such information to maintain its truth, accuracy and completeness.

4. SCOPE OF SERVICES

4.1 Subject to the terms and conditions of this Travel Company Agreement, including but not limited to the Terms of Use and Zicasso Policies, the Site will provide the following services:

  • 4.1.1 The Site will facilitate (a) Traveler’s ability to define and source Travel Company Services by posting a Trip Request in order to engage Travel Companies directly; (b) Traveler’s ability to learn about, inquire, commit to procure, or procure Travel Company Services; (c) Travel Companies’ ability to advertise their capabilities, bid on Trip Requests, and provide Travel Company Services directly to Travelers; (d) delivery of (i) payment information for Traveler, and (ii) receipt information for Travel Company; and (e) other services that Zicasso may offer through the Site from time to time, currently including, but not limited to services further described in the Zicasso Policies. In providing the Zicasso Services, Zicasso will NOT source or deliver any services provided by Travel Companies, including, but not limited to, Travel Company Services. Zicasso will only provide the venue for Travelers and Travel Companies to find and contract with each other for Travel Company Services according to the Zicasso Policies.

4.2 Subject to the terms and conditions of this Travel Company Agreement including but not limited to the Terms of Use and Zicasso Policies, you shall provide the following services:

  • 4.2.1 you shall provide Travel Company Services and any and all other services that Zicasso allows you to deliver through the Site.

4.3 You understand and agree that Zicasso offers no commitment or guarantee that any Travel Company Services will be purchased from you.

5. FEES

5.1 You shall pay all fees applicable to your use of the Zicasso Services, and you agree not to circumvent Zicasso's fee structure.

5.1.1 Standard Sales.  A Standard Sale refers to Traveler’s booking of Travel Company Services for a trip that was matched by Zicasso, with a Zicasso Trip Request on the Site. From time to time, Zicasso may refer a Traveler to you via email rather than the Site: sales of such trips carry the same commission terms as a Standard Sale.

Commission for Custom Trips

For Trip Requests Matched On or After April 1, 2020: Unless otherwise agreed, for all Travel Company Services sold to Travelers introduced to you via Zicasso, including but not limited to accommodations (including taxes and fees), bundled airfare, transportation (such as trains, car rentals, all forms of transfers), tours, cruises, activities, excursions, additional pre-paid amenities, pre-paid meals, tickets, all taxes and fees (including credit card fees, wildlife or national park fees or concession fees, etc.), Travel Company's mark-up, as well as insurance, Zicasso charges Travel Companies a commission fee of eight percent (8%) of the total custom trip package price -- with the exception of airfare that is not bundled as part of the package.

For Trip Requests Matched Before April 1, 2020: The commission terms are the same as the terms for Trip Requests matched on or after April 1, 2020 except that the commission fee is six percent (6%) of the total custom trip package price.

Stated in another way, Zicasso's commission applies to the total custom land package price paid by Traveler, for all services, including all taxes and fees, other than airfare that is not bundled as part of package. Whether the commission level is at 8% or 6% depends on whether the Trip Request was matched on/after April 1, 2020 or before that, respectively.

For airfare that is priced and sold separately (that is, not part of an airfare-bundled package), the commission due Zicasso is 30% of the gross profit that you generate on the airfare transaction, where the gross profit includes commission received by you from your suppliers plus any booking fees you charged to the Traveler.

This commission is due the month after you have collected non-refundable deposit from Travelers (e.g. typically 20 - 30%). See Section 5.1.1 and 5.1.2 below for more details.

Note: the only component that can be taken out of the commission calculation is non-commissionable airfare. All other components in the sold trip are subject to the 8% commission.

The following examples are given for Trip Requests matched on or after April 1, 2020.

Example 1: Travel Services sold with bundled airfares

A Trip Plan or other Travel Company Services were sold for $10,000 USD including bundled airfares. The commission due Zicasso is as follow:

$10,000 (total trip price) x 8% = $800

Example 2: Non-commissionable airfares sold separately (unbundled) from other Travel Services

A Trip Plan or other Travel Company Services were sold for $10,000 USD, of which $2,000 USD was for the airfares. You do not receive commission for the airfare portion from your supplier nor was there any airfare booking fee charged to the Traveler. The commission due Zicasso is as follow:

[$10,000 (total trip price) - $2,000 (the flight portion that you do not receive commission for)] x 8% = $8,000 x 8% = $640

Example 3: Commissionable airfares sold separately (unbundled) from other Travel Company Services

A Trip Plan or other Travel Company Services were sold for $10,000 USD, of which $2000 USD was for the airfares sold separately (not part of an airfare-bundled package), and you received $100 USD commission for the airfares from your supplier, and you charged a $50 USD booking fee. The commission due Zicasso is as follows:

Commission to Zicasso from non-airfare Travel Services:

[$10,000 (total trip price) - $2,000 (airfare portion of the trip)] x 8% = $8,000 x 8% = $640

Commission to Zicasso from commissionable airfares, including booking fees:

$100 (airfare commission) x 30%

+ $50 (airfare booking fee) x 30%

= $30 + $15 = $45

Total commission to Zicasso for this booking

$640 (from land package) + $45 (from air) = $685

Commission for Travel Insurance

If you sold travel insurance to Traveler, then the commission to Zicasso is 8% of the price of the insurance paid by Traveler. 

Commission for Cruises and Escorted Group Tours (Fixed Departures)

If you sell a cruise or another company's escorted group tour, then the commission is 30% of the commission paid to you, payable the month after travel.

If you are a tour operator selling your own escorted group tour, then the commission is 8% of the total tour price (including all bundled services) paid to you, payable the month after travel.

Commission for Planning Fee if Trip Did NOT Result in Booking of Other Services or If Planning Fee is Additional to Trip Price

It is uncommon for Zicasso Travel Company partners to collect a Planning Fee (also called a Service Fee) from Travelers.  If such a fee were collected, it is typically applied towards the price of the Trip when Travelers later pay a trip deposit to book a custom trip, escorted group tour, or cruise.  However, if the Planning Fee is in addition to the Trip price, or if Traveler declines to book any other services, such that the Planning Fee is the only payment collected from Traveler, then Zicasso's commission is 30% of the planning fee.  

Example 1: Travel Company collected $500 USD Planning Fee (Service Fee) from Traveler.  Subsequently, Traveler decided not to proceed with any other booking with Travel Company.  Zicasso's commission is 30% of $500 USD, or $150 USD.  This commission helps Zicasso partially recover its marketing cost for this lead. For proper invoicing, such a trip should be marked as “Inactive – Kept Planning or Service Fee (Trip Not Sold)”

Example 2: Travel Company collected $500 USD Planning Fee (Service Fee) which did not apply to Trip price.  Additionally, the Trip land package was sold for $10,000 USD.  Zicasso's commission is 30% of $500 USD + 8% of $10,000 = $950 USD. For proper invoicing, such a trip should be marked as “Sold – Confirmed with Trip Deposit” and an explanation on the additional Planning or Service Fee can be provided in the commission notes.

5.1.2 Client Trip Deposits, Cancellations, Postponement, and Effect on Commission Fee

Upon the sale of a Trip, Travel Company should collect from the Traveler a trip deposit with a non-refundable portion that more than covers Zicasso's 8% commission as well as your expenses. In general, Travel Company members on Zicasso collect trip deposits in the 20 – 30% range with a non-refundable portion in the 20 – 30% range for the total land portion. Thus, regardless of cancellations, Zicasso's 8% commission as well as your cost of selling the trip are covered, and the 8% commission fee is due to Zicasso.

In the case of exceptions to the non-refundable portion of deposit due to unusual circumstances warranting cancellation, Travel Company can contact Zicasso and we will make adjustments to the commission as appropriate. The spirit of the commission policy is guided by a) doing the "right thing" for clients, and b) if Travel Company has to refund a Traveler and thus face reduced gross profit, then Zicasso will refund our commission in proportion to the reduction in Travel Company's gross profit. The gross profit is defined as the booking price minus payments to suppliers. (Note: The Travel Company's cost of time and materials associated with selling and handling the trip is not considered part of the gross profit calculation.)

Example A: Due to unusual circumstances warranting cancellation (e.g. due to unexpected serious illness), Travel Company decides to provide a complete refund to Traveler. Zicasso provides a complete refund of commission to Travel Company.

Example B: Traveler paid for the trip in full. It's 2 weeks before the trip departure and due to unusual circumstances, Traveler has to cancel the trip. According to contract, there is no refund due to Traveler. However, Travel Company decides that the "right thing to do" is provide a 70% refund to Traveler. As a result, Travel Company's gross profit reduced by 50% for this trip (e.g. if the trip had occurred, Travel Company's gross profit would have been $2,000 USD but because of the refund, the gross profit for this trip is now $1,000 USD). Since Travel Company's gross profit is reduced by 50%, Zicasso will also refund 50% of our commission to Travel Company, who will coordinate the refund to the Traveler.

Zicasso's commission refund should be provided to the Traveler by Travel Company as part of the overall refund, without a breakdown of which portion of the refund is from Zicasso.

Should the Traveler rebook the trip in future, Travel Company will report the new sale by changing the status of the trip accordingly.

Trip Postponement: A trip that is postponed indefinitely is treated like a cancelled trip, subject to the same commission terms above for a cancelled trip.  A trip that is postponed to a specific future date is treated like a Standard Sale.

5.1.3 Sales Recording and Invoices for Commission: Online Process and Timeline

Travel Company is responsible for timely recording of status of each sold Trip Plan as follows:

  • Sold – Confirmed with Trip Deposit: Travel Company should mark a trip with this status within two business days of receiving trip deposit payment from Traveler.​  Commission to Zicasso would then be due by the end of the following month.
  • Sold – Got Planning Fee: Zicasso Travel Company partners do not usually collect planning fees from Travelers. If such a fee were collected, the trip should be marked as “Sold – Got Planning Fee”.  Zicasso does not charge commission for such a trip yet, because it is expected that later, Traveler will be paying the standard non-refundable trip deposit, at which point, Travel Company should change the status to "Sold - Confirmed with Trip Deposit."  However, if Traveler subsequently declines to purchase any other services, then Travel Company should mark the trip as “Inactive – Kept Planning or Service Fee (Trip Not Sold)”so that the trip can be invoiced properly, subject to commission terms discussed above in Section 5.1 for trips where only planning or service fees were collected, without further purchase of other services.​
  • Sold – Cruise, Escorted Group Tour, or Commission After Departure: While it’s uncommon, if you sold such a trip and the commission timing needs to be different from custom trips, as being dictated by the suppliers, please mark the trip as “Sold – Cruise, Escorted Group, or Commission After Departure.”  Fill in the travel departure date. Zicasso’s commission is due the month after the travel date for such a trip.

Travel Company agrees to record all sales within two (2) business days of receipt of trip deposit or planning/service fees, using an online sales recording system within Zicasso site. Failure to do so is a violation of this Agreement and can result in termination of membership as described in Section 8. Zicasso reserves the right to make occasional verification audits on the date of trip deposit receipt and final trip price with Travel Company or with Travelers.

On the 1st day of each month, Zicasso will send Travel Company an electronic invoice showing Travel Company the trips that have commission due for that month.  This invoice includes trips that were changed to “Sold – Confirmed with Trip Deposit” during the prior month, as well as other trips that have commission due (e.g. a cruise trip with a departure date during the prior month, a referral booking that was recorded during the prior month, etc.)  If you are recording the sales in a foreign currency, the invoice will also publish and use a US Dollar (USD) exchange rate converted on the 1st day of that month, for all commission related to that invoice.  The invoice total and commission due is in USD.

Between the 1st and 14th day of each month, Travel Company can complete the recording of sales and commission information for trips on that month’s invoice.

On the 15th day of each month, Zicasso will send the final electronic invoice for that month and payment to Zicasso is due on the last business day of that same month.

Example: As of March 31, you marked five trips as “Sold – Confirmed with Trip Deposit” during the month of March. These trips will automatically appear on your April invoice (sent on April 1), and commission to Zicasso for these trips is due by April 30.

Changes to Trip Price After Deposit: Subsequent to receipt of trip deposit, the Trip Plan price may change due to changes to the itinerary, such as additions, subtractions, upgrades, or downgrades of Travel Company Services. If such Trip Plan price change affects Zicasso commission change by over $30 USD, either increase or decrease, Travel Company should report the change online and the subsequent monthly invoice will add or subtract the difference in commission. (Trip Plan price changes affecting commission changes under $30 USD are considered small enough that there is no need to make adjustments, especially since some changes are increases while some are decreases, thus the average should be negligible.)

The online system for sales recording, invoices and payment status are shown within the Zicasso site, privately viewable by each Travel Company for its trips.

For cancellations, refer to Section 5.1.2.

Exceptions: For specific cases that require exceptions to the above terms, Travel Company can contact Zicasso and upon evaluation, Zicasso will work towards a solution that is mutually beneficial for Travel Company and Zicasso.

5.1.4 Repeat Clients & Referrals

Definitions

Repeat Clients: A Repeat Client is a Zicasso Traveler who purchased an initial trip from you, and subsequently, purchases additional trips or services from you, whether the subsequent trips were referred by Zicasso or not.

Referrals: A Referral is a client who was referred to you by a Zicasso Traveler or a referral of a Referral (including multiple degrees of referrals).

Trips sold to Repeat Clients and Referrals (the “Repeat/Referral Sales”) are subject to the following Zicasso commission levels on a lifetime, perpetual basis for all future bookings. 

The commission levels for Repeat/Referral Sales are:

○      Custom Trips: 4% of total land package price

○      Unbundled Airfares: 20% of your gross profit

○      Cruises and Escorted Group Tours: 20% of your commission

○      Travel Insurance: 4% of insurance price

The above commission applies to all Repeat/Referral Sales sold on or after Mar 1, 2017, regardless of when the Traveler was originally matched to Travel Company in the past.  The reduced commission of 4% applies to Repeat Sales regardless of whether Repeat Client who booked an initial Trip with you contacted you directly (offline, outside of Zicasso site) or if Zicasso matched the subsequent trip(s) to you via Zicasso Trip Request.

You agree to report Repeat/Referral Sales on the Sales Recording page of Zicasso site.

Inclusion in Sales Metrics: Starting March 1, 2017, Repeat/Referral Sales reported on Zicasso Site will be counted into your Sales Metrics for each trip whose commission exceeds $200 USD.  The Site would treat the Sale as if it were a Trip Request matched from 30 days prior to date of Sale reported.  Thus your sales conversion for the 30 - 90 days Sales Metrics would increase the day after the Sale was reported.  This provides you an advantage because Zicasso prioritizes the matching of the highest-budget new leads for Travel Companies who convert the best (i.e. having the highest conversion rate and high booking values.)

Timing of Commission.  For Repeat/Referral Sales, the Zicasso commission is due the month after you reported the sale on Zicasso Site.  A monthly invoice is automatically generated for Repeat/Referral Sales that were reported during the prior month.  For Custom Trips, you should report the sale within two business days of receiving trip deposit.  For trips which you are paid commission after trip departure, such as Escorted Group Tours and Cruises, you should report the sale the month of departure. Zicasso Site would then invoice you the month after.

5.1.5 Paying Commission to Zicasso

C. Pay invoice via Zelle (USA)

Zicasso’s Zelle account: payment@zicasso.com

There is no fee for you to send invoice payments to Zicasso via Zelle and there is no limit for the dollar amount for Zicasso to accept payments from Zelle. However, your bank may have a daily limit for sending payments via Zelle. The daily limit for the dollar amount one can send via Zelle is usually around $5,000 USD, but may vary depending on senders’ banks.

D. Pay invoice via credit card

To set up payments by credit card (transaction fees apply), please download and fill out Zicasso’s Credit Card Authorization Form.  Share your completed form with payment@zicasso.com via Google Drive.  Sharing documents from your Google Drive is more secure than sending an email with an attachment.

You only need to do this once. From this point forward, Zicasso will charge the commission due in that month on or after the 25th of the month.  For questions, please email payment@zicasso.com.

E. Pay invoice by check (including online Bill Pay)

We strongly urge our partners to avoid sending commission payments via check in order to avoid check deliveries being delayed or lost. If you must send us checks for your commission payments, please contact payment@zicasso.com. Please note: Zicasso assumes no responsibility if and when check deliveries are delayed or lost.

Transaction Fees

Travel Companies are responsible for all transaction fees (including credit card fees or bank fees), whether incurred by Travel Company or by Zicasso, associated with the payment methods of their choice.  If you pay by bank wire transfer, then you are responsible for the fees charged by both sides of the banks and other possible intermediary banks.

You should list your Travel Company name AND the invoice number in the transaction so Zicasso can properly account for your payment.

The commission fee is charged in US dollars, and must be paid in US dollars, using the current exchange rate on the date when the invoice is issued, on the 1st day of each month.

Zicasso reserves the right to change the method of calculating the commission at any time. However, Zicasso will only apply such changes to the commission only to Trip Plans or other Travel Company Services purchased after notification of the change.

5.2 Each Member is solely responsible for paying all income tax, payroll tax, payroll withholding, sales and use tax, governmental reporting and other legal requirements under applicable law, including, without limitation, those applicable to the purchase and sale of Travel Company Services from and by Travel Companies.

5.3 Circumvention of Commission
You agree not to engage in any action or activity that circumvents the commission described above. Prohibited practices include (but are not limited to) the following:

  • Failing to report sales (including Standard Sales or Repeat/Referral Sales) or Planning/Service Fees
  • Failing to report changed Trip Plan amounts for sold Trip Plans
  • Suggesting or soliciting Travelers to hire you outside the Zicasso system
  • Reporting on the Site a Trip Plan amount different than that agreed between Traveler and Travel Company
  • Placing low value or placeholder prices, with unreasonably high final service charges

Failure to report sales or to pay the commission due will result in suspension of your membership. Amounts not paid Zicasso when due are subject to interest and penalties as defined in Travel Company Agreement.

5.4 Agreement to Pay
You agree to pay interest at a rate of one-and-a-half percent (1.5%) per month, or the maximum rate permitted by applicable law, whichever is less, from the due date until paid, as well as attorneys’ fees and other costs of collection incurred by Zicasso in collecting from the Travel Company any undisputed outstanding amount due Zicasso. Zicasso may also make appropriate reports to credit reporting agencies, financial institutions, tax agencies and law enforcement authorities, and cooperate with them in any resulting investigation or prosecution.

6. WARRANTY AND DISCLAIMERS

6.1 Travel Company Warranties. You represent and warrant that:

  • 6.1.1 You have the full power to enter into and perform this Agreement and to provide the Travel Company Services, and your performance of this Agreement shall not violate or conflict with any agreement to which you are a party;
  • 6.1.2 You shall perform all Travel Company Services in a professional and workmanlike manner; with all necessary care, skill and diligence; and in accordance with the Trip Plan and requirements that you agree upon with applicable Traveler(s);
  • 6.1.3 Travel Company Services provided by you through the Site shall only be sold to Travelers originated from the Site through the Site. For the avoidance of doubt, you are expressly prohibited and you hereby expressly represent, covenant and warrant that you shall not sell Travel Company Services to Travelers originated from the Site unless such Travel Company Services are sold through the Site and Zicasso receives its commission in accordance with the Fee section above.
  • 6.1.4 You will comply with all Zicasso Policies and time is of the essence with respect to such compliance.

6.2 Zicasso Warranties. Zicasso represents and warrants that it shall have the full power to enter into and perform this Agreement and provide the Zicasso Services.

6.3 THE ZICASSO SERVICES PROVIDED HEREUNDER ARE PROVIDED AS IS, AS AVAILABLE, AND WITHOUT ANY WARRANTIES OR CONDITIONS (EXPRESS OR IMPLIED, ARISING BY STATUTE OR OTHERWISE IN LAW OR FROM A COURSE OF DEALING OR USAGE OR TRADE). WE MAKE NO REPRESENTATIONS OR WARRANTIES, OF ANY KIND, EITHER EXPRESS OR IMPLIED, AS TO THE QUALITY, IDENTITY OR RELIABILITY OF ANY THIRD PARTY, OR AS TO THE ACCURACY OF THE POSTINGS MADE ON THE WEB SITE BY ANY THIRD PARTY. SOME STATES AND JURISDICTIONS DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

7. NOTICES AND COMMUNICATIONS

Unless you otherwise indicate in writing to Zicasso management, Zicasso will communicate with you by email or by posting communications on the Site. You consent to receive communications from us electronically and you agree that these electronic communications satisfy any legal requirement that such communications be in writing. You will be considered to have received a communication when Zicasso sends it to the email address you have provided to Zicasso on the Site, or when Zicasso posts such communication on the Site. You must keep your email address updated on the Site, and you must regularly check the Site for postings.

All notices to Zicasso intended to have a legal effect concerning this Agreement must be in writing and sent via email to info@zicasso.com. Such notices to Zicasso are deemed effective upon receipt.

8. TERMINATION

○      8.1 This Travel Company Agreement shall become effective upon your acceptance or your use of the Site, and shall continue until terminated by Zicasso or you as provided for under the terms of this Section.

○      8.2 Unless otherwise agreed to in writing between the parties, either party may terminate the Travel Company Agreement at any time upon notice to the other party. In such event, (i) Zicasso shall continue to perform those Zicasso Services necessary to complete any open transaction between you and another Member; and (ii) you shall continue to be obligated to pay Zicasso for any Services for which you have been engaged in order to complete any such transactions. After termination, reporting of sales and commission to Zicasso shall be done via email to payment@zicasso.com

  •    8.3 Any Repeat/Referral Sales made within two years of agreed upon termination date are subject to Zicasso Repeat/Referral commission amount (Section 5) and shall be reported via email to payment@zicasso.com and invoiced via email. Any Repeat/Referral Sales made after two years of agreed upon termination date are no longer subject to any Zicasso commission.

○      8.4 Without limiting Zicasso's other remedies, we may issue a warning, temporarily suspend, indefinitely suspend, or terminate your registration and refuse to provide any or all Services to you if: (a) you breach any terms and conditions of the Agreement or the linked policies and information incorporated therein by reference, including our written policies and procedures posted on the Site; (b) we are unable to verify or authenticate any information you provide to us; or (c) we believe in our sole discretion that your actions may cause legal liability for you, our Members or for Zicasso or are contrary to the interests of the Site or the Zicasso User community. Once temporarily suspended, indefinitely suspended or terminated, you may not continue to use the Site under the same Account, a different Account or reregister under a new Account.

○      8.5 Without limiting Zicasso's other remedies, to the extent you engage in actions or activities which circumvent the Zicasso Site or otherwise reduce fees owed Zicasso under the Terms of Use, you will pay Zicasso for all fees owed to Zicasso and reimburse Zicasso for all losses and costs (including any and all Zicasso employee time) and reasonable expenses (including attorney fees) related to investigating such breach and collecting such fees.

○      8.6 When your membership is terminated, you may no longer have access to data, messages, files and other material you keep on the Site. The material may be deleted along with all your previous posts and bids. The provisions entitled "Fees," "Warranty Disclaimer," "Limitation of Liability," "Release," "Indemnity," "Intellectual Property," "Notices and Communications," "Resolution of Disputes between Member and Zicasso," "General," and "Audit Provisions and Maintaining Records" will survive termination of this Agreement.

9. ADDITIONAL TERMS

9.1 Qualification Process for New Sales Consultant

Zicasso commits to Travelers that we pre-qualify each of the travel specialists who sell on Zicasso.  Our commitment is that only the world’s best travel specialists are approved on our network, setting the industry’s highest standards for expertise and quality of service.  To honor that commitment in partnership with Zicasso, you agree to Zicasso’s qualification process for new sales consultants prior to their being approved to sell on Zicasso

9.2 Overlapping (Duplicated) Leads

If Zicasso matches you with a Traveler and that Traveler also contacted you independently, e.g. via your own marketing or referrals, then you are still obligated to treat it as a Zicasso Traveler client, and Zicasso's standard commission policy still applies, with commission paid to Zicasso accordingly.  You agree to accept that Traveler’s Trip Request and respond to Traveler via the Site.  If there are unusual circumstances regarding a duplicated lead, please contact Zicasso.

9.3 No Spam or Mass Emails Unless Traveler Explicitly Opted In

Zicasso has a strict policy against spam emails to our Travelers.  Promotional emails, newsletters, and other automated mass emails (collectively “Mass Emails”) cannot be sent to Travelers unless they have explicitly opted in to receive such emails.  You agree not to send Mass Emails to Zicasso Travelers unless they have explicitly signed up to receive such emails and provided you with their private non-Zicasso email addresses.  You agree not to use Traveler’s Zicasso email addresses to send Mass Emails to Travelers.

9.4 Zicasso Travel Reviews​

You agree not to solicit reviews from Zicasso Travelers for publication on any venue other than Zicasso Site.  ​Content from reviews published on Zicasso Site may not be duplicated on any other website, including your website.
